This document constitutes a public offer (“Agreement”) by WebPromo Canada (“Agency”, “we”, “our”) to any individual or legal entity (“Client”, “you”, “your”) for the provision of website development, configuration, digital marketing, advertising campaigns, and related services in accordance with the laws of Canada.
By accepting an offer, paying an invoice, or otherwise using our services, you agree to be bound by these Terms of Use.
1. Scope of Services
1.1. The Agency provides services including, but not limited to, development and configuration of websites, creation and management of online advertising campaigns, search engine optimization (SEO), content marketing, Website Hosting, and other digital marketing activities.
1.2. The exact scope, deliverables, and timelines for each project will be set out in a written offer (the “Offer”) provided to the Client prior to commencement of work.
2. Workflow and Acceptance of Orders
2.1. Upon receiving a service request, the Agency will review the Client’s case.
2.2. If the Agency agrees to undertake the work, it will issue a written Offer describing the scope, cost, and timeline.
2.3. The Client accepts the Offer (“Acceptance”) by written confirmation (including email) or by payment of the corresponding invoice.
2.4. After Acceptance, the Agency will issue a prepayment invoice as specified in the Offer.
3. Special Conditions for WordPress Projects
3.1. If a project involves the use of paid WordPress plugins, themes, or third-party licenses, the cost of such licenses will be fully borne by the Client.
3.2. These costs are not included in the Agency’s service fees and will be invoiced separately or purchased directly by the Client, unless otherwise stated in the Offer.
4. Payment Terms
4.1. Unless otherwise specified in the Offer, payment terms are as follows:
- For short-term projects (one month or less): 100% prepayment.
- For long-term projects (over one month): the project will be divided into stages, with stage-by-stage invoicing.
4.2. Each invoice must be paid within the period stated on the invoice.
4.3. Payment of a monthly invoice constitutes automatic acceptance of all services rendered by the Agency during that billing period.
4.4. All prices are in CAD and exclusive of applicable taxes unless otherwise stated.
5. Client Responsibilities
5.1. The Client shall provide all required materials, information, and access necessary for the Agency to perform the services.
5.2. The Client is responsible for ensuring the accuracy and legality of all materials supplied to the Agency.
6. Intellectual Property
6.1. Upon full payment of all fees, the Agency grants the Client a non-exclusive, non-transferable license to use the deliverables for their intended purpose.
6.2. The Agency retains ownership of all methodologies, templates, and know-how used in delivering the services.
7. Limitation of Liability
7.1. The Agency shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
7.2. The total liability of the Agency shall not exceed the total amount paid by the Client for the services giving rise to the claim.
8. Termination
8.1. Either party may terminate this Agreement upon written notice if the other party breaches its obligations and fails to remedy such breach within 10 business days.
8.2. Upon termination, the Client shall pay for all work completed up to the date of termination.
9. Governing Law
9.1. This Agreement shall be governed by and construed in accordance with the laws of the Province of [Insert Province] and the federal laws of Canada applicable therein.
9.2. Any disputes shall be resolved in the courts of [Insert City, Province].
10. Amendments
10.1. The Agency reserves the right to amend these Terms of Use at any time by posting an updated version on its website. Continued use of services after such posting constitutes acceptance of the amended terms.
